We are actively seeking a seasoned Transactional Attorney to join our dynamic team at an AM Law 200 firm in New York. This position is ideal for candidates proficient in corporate law, including mergers and acquisitions, fund formations, finance, and securities. The successful candidate will contribute to handling substantial cases, providing not only legal expertise but also strategic thinking to foster client relationships and corporate goals across multiple states including Delaware, Florida, Maryland, New Jersey, New York, and Texas.
Salary: $240,000.00 - $320,000.00 per year
Essential Duties and Responsibilities:
- Advising clients on a range of corporate transactions including mergers, acquisitions, and divestitures.
- Handling all aspects of deal structuring, negotiation, and documentation.
- Facilitating fund formations and operations, including compliance with relevant regulations.
- Providing expert advice on financing arrangements and related securities offerings.
- Conducting due diligence investigations to ensure compliance and mitigate risks.
- Working closely with clients to understand their business objectives and provide strategic legal solutions.
- Collaborating with other attorneys and teams on cross-jurisdictional matters.
Minimum Position Qualifications:
- Juris Doctor degree from an accredited law school.
- At least 3 years of experience in corporate law, particularly in mergers and acquisitions and finance.
- Admission to the Bar in one of the states: Delaware, Florida, Maryland, New Jersey, New York, or Texas.
- Strong academic credentials and a track record of professional success.
- Exceptional oral and written communication skills.
Preferred Qualifications:
- Experience in handling complex transactional matters independently.
- Familiarity with cross-border transactions and global market strategies.
- Proven ability to negotiate and manage complex legal and business issues.
- Prior experience in a large law firm or corporate legal department preferred.
