The Tax Manager position will be based in Philadelphia and will have primary responsibility of overseeing and managing the day-to-day state and local tax (SALT) controversy issues of the Company and all of its domestic affiliates, including the evaluation of all potential SALT assessments and composition of tax protest and appeal letters.

JOB DESCRIPTION
The primary responsibility for this role is to provide oversight and manage the day-to-day state and local tax (SALT) controversy issues of the Company and all of its domestic affiliates, including the evaluation of all potential SALT assessments and composition of tax protest and appeal letters. This position will also assist the Director, State & Local Taxes in dealing with significant audits, evaluating/modeling potential state tax planning concepts and evaluating SALT reserve needs with respect to quarterly and annual SALT provision processes. This position will need to interface with cross-functional groups within and outside the tax department in attaining the data necessary to successfully defend Company SALT positions.

Primary responsibilities of this position will include:
• Evaluate, research and address all state and local tax (SALT) notices and inquiries received and/or its domestic affiliates.
• Work with Company and third party service personnel to understand the issues presented and the basis for the Company’s tax filing positions.
• Conduct any necessary tax research to determine if the jurisdiction’s claims are warranted and/or are supported under applicable law or regulation.
• Conduct all necessary correspondence and communication with the jurisdiction(s) in order to resolve the issue on a favorable basis to the Company, including the creation of tax appeal or protest correspondence.
• Summarize any proposed resolution of the issue(s) and provide a recommendation to Tax management as to the appropriate course of action to settle any tax/interest/penalty exposures.
• Assume control for any assigned SALT audits under the direction and guidance of the Director, State & Local Taxes. Conduct analysis of the audited returns and discuss any peculiarities in the tax filing position(s) taken by the Company to understand the basis and rationale for said position(s).
• Gather data needed to respond to any audit IDRs issued in relation to the audit. Prepare data and submissions in satisfaction of the audit IDR items.
• Conduct any necessary tax research to determine the propriety of any proposed audit determinations including drafting of any required position papers to support the Company’s tax positions.
• Prepare any audit protests as necessary under the supervision and guidance of the Director, State and Local Tax, including working with any third party subject matter experts that the Company may engage.
• Summarize and communicate out to the Company and third party service personnel any results of audits and notices that affect current return preparation and positions.
• On a quarterly and annual basis, provide input and guidance to the Director, State & Local Taxes as to any tax notices settled during the period and the need for any SALT reserves related to ongoing audits.
• Provide support to the Director, State & Local Taxes as needed in modeling and/or evaluating state tax planning concepts/proposals for both overall tax planning and merger/acquisition/disposition structuring purposes and other special projects as needed.
• Assist Director, State & Local Tax in reviewing and monitoring changes in SALT tax legislation, rulings, regulations, and litigation including understand the relevant impacts to Company and its domestic subsidiaries/affiliates.

Estimated Percentage Breakdown in Functional Areas:
Investigating, Researching and Responding to SALT Notices and Assessments: 50%
Managing/Assisting with SALT Audits (including responding to IDRs): 25%
Assisting with SALT Tax Planning Analyses: 15%
Assisting with QTR/Year end SALT Reserve Needs Analyses: 10%

QUALIFICATIONS

Essential Duties:
7+ years of state and local tax (SALT) experience within a large multinational company or Big 4 public accounting firm, with at least 3 years experience dealing in areas of state tax controversy (notice evaluation/resolution, drafting correspondence and tax protest letters, managing SALT audits, etc.).

Undergraduate degree with concentration in Accounting or Finance required with an advanced degree or certification (MST, JD and/or CPA) preferred.

Ability to conduct state tax research using Checkpoint and other tax research systems.
Strong analytical and problem-solving abilities.

Significant experience in dealing with and presenting complex technical tax positions is required.

Significant experience working in a robust merger and acquisition environment preferred.
