Salary: $75,000.00 - $95,000.00 per year
Essential Duties and Responsibilities:
- Draft and review comprehensive legal documents and correspondence specifically related to Business and Finance matters, ensuring accuracy and compliance with legal standards.
- Perform in-depth factual legal research leveraging both print and advanced electronic resources to support case preparation and client needs.
- Seamlessly collaborate with external parties including outside counsel, filing agents, and clients to ensure the streamlined execution of legal responsibilities.
- Efficiently organize and maintain legal files, manage DocuSign signatures for legal approvals, and compile critical closing materials for transactions.
- Assist with detailed due diligence processes during various transactions and accurately prepare documents critical for business entity formation.
- Manage and coordinate necessary state filings such as Articles of Incorporation/Formation and conduct lien searches and other related services.
- Impeccably maintain corporate minute books, update ownership certificates, and ledgers to ensure record accuracy and compliance.
- Prepare complete and organized closing binders, and maintain up-to-date and secure electronic data rooms for transaction management.
- File essential documents with appropriate government bodies including states, FINRA, and SEC while also managing related invoicing processes.
- Prioritize and manage time-sensitive entries, communicate impending deadlines effectively to ensure smooth operations and compliance.
Minimum Position Qualifications:
- Paralegal degree or certificate from an ABA-approved program, or equivalent robust experience in a paralegal role.
- Proven experience in corporate law, with a strong understanding of Secretary of State functionalities across Ohio, Indiana, Kentucky.
- In-depth proficiency with Microsoft Office suite, Adobe Acrobat, and commonly utilized legal research tools such as WestLaw, Lexis/Nexis, and PACER.
- Familiarity with document management systems like iManage and the use of electronic data rooms.
- Proven capability to maintain the utmost confidentiality with sensitive information and demonstrate exceptional attention to detail.
Preferred Qualifications:
- Experience in using DocuSign and CARTA for document handling and transaction management.
- Advanced skills in transactional document preparation, a key aspect for enhanced performance in this role.
- Notary Public certification is highly preferred, adding value through authorized legal capacity to serve public functions.
