Senior Associate Attorney - Corporate Law

Salary: $140,000.00 - $180,000.00 per year

Essential Duties and Responsibilities:

  • Lead and manage complex corporate transactions and business dealings.
  • Draft, review, and negotiate a variety of transactional documents including operating agreements, shareholder agreements, partnership agreements, and stock/asset purchase agreements.
  • Provide expert advice and handle licensing agreements, employment contracts, and corporate governance issues.
  • Support clients with specialized needs in data privacy and cybersecurity.
  • Engage in corporate tax planning; experience with LLM in tax or exempt organizations highly regarded.
  • Collaborate closely with a team to ensure the legal needs of the clients are met and exceeded.
  • Participate in firm-sponsored events and activities, contributing to a collegial and inclusive office atmosphere.

Minimum Position Qualifications:

  • A minimum of 5 years’ experience in corporate transactional law.
  • Demonstrated ability to independently manage large and complex legal transactions.
  • Strong proficiencies in drafting and negotiating complex contracts and agreements.
  • Current licensure to practice law in Florida and good standing with the Florida Bar.
  • Excellent analytical, research, and problem-solving skills coupled with strong business acumen.
  • An adaptable individual capable of handling high-pressure situations with poise and professionalism.

Preferred Qualifications:

  • Specialized degree or certifications related to corporate law, such as an LLM in Tax.
  • Experience in tax or exempt organizations, enhancing expertise in niche areas of corporate law.
  • Prior involvement in privacy compliance and risk management.
