Our client, a highly regarded law firm, is seeking a Mid-Level or Senior Associate / Of Counsel attorney to join its Real Estate and Business Practice Group. This is an excellent opportunity for a highly skilled attorney with at least six years of real estate finance and transactional experience to take on substantial responsibility in a dynamic practice.

Key Responsibilities

  • Lead and manage sophisticated real estate finance and transactional matters, including mortgage, mezzanine, and preferred equity finance, joint venture equity transactions, and complex commercial purchase and sale deals.

  • Serve as primary deal counsel, independently managing transactions from inception through closing with minimal supervision.

  • Draft, review, and negotiate a wide range of real estate and business agreements, including financing documents, joint venture agreements, purchase and sale contracts, and related ancillary agreements.

  • Provide strategic counsel to clients, including entrepreneurs, developers, investors, and financial institutions, with a focus on achieving practical and business-oriented solutions.

  • Supervise, mentor, and train junior associates and paralegals, delegating tasks effectively while ensuring quality and timeliness of work product.

  • Coordinate and collaborate with attorneys across practice groups (e.g., tax, corporate, and litigation) to provide holistic advice on complex transactions.

  • Manage client relationships, serve as a trusted advisor, and actively participate in business development efforts, including networking and contributing to thought leadership in the real estate sector.

  • Ensure compliance with all applicable laws and regulations, assess risk factors, and anticipate potential legal issues affecting clients’ business goals.

Candidate Qualifications

  • Minimum of six years of real estate finance and transactional experience, with substantial exposure to mortgage, mezzanine, preferred equity finance, joint venture equity, and complex purchase and sale transactions.

  • Demonstrated experience as lead deal counsel with ability to manage multiple, complex transactions with limited oversight.

  • Strong drafting, negotiating, communication, and analytical skills, with a high attention to detail and the ability to distill complex concepts into practical advice.

  • Effective time management skills, organizational abilities, and a strong work ethic.

  • Commitment to excellent client service and ability to thrive in a fast-paced, entrepreneurial environment.

  • Excellent academic credentials.

  • Admission to the California Bar is required.
