Position: Investments and Transactional Counsel

The Investments and Transactional Counsel will play critical role in all stages of investments and transactions (General Transactions; Trade Authorization and Execution; Asset Modification / Project Management; Special Transactions and Initiatives; and, New Market Tax Credit allocations).

Reporting to General Counsel, Counsel will assists with general corporate matters, such as: review and negotiate contracts and confidentiality agreements; assist with securities, compliance and litigation matters; and, contribute to other special projects.

Sample assignments:

  • Determine eligibility of investment product and terms pre-investment. Assist internal investment group in resolving deal-specific issues with third parties and external transactional counsel.
  • Monitor and coordinate outside counsel representation on various real estate transactions; update and advise multifamily staff on legal matters.
  • Manage and draft transaction documents, including those related to direct loans, equity bridge loans, Government Sponsored Entity security purchases, and state/city housing agency bonds. Negotiate and memorialize investment terms as deals flow through commitment, rate-lock, final commitment and pay-off; advise on deal-related terms and inquiries.
  • Review and advise on direct loan draw requests in coordination with the firm’s asset management group. Participate on Investment Committee and review and approve proposed investments in internally originated assets.
  • Field legal issues arising on real estate transactions after closing, including amendments, fee extensions, defaults, consents, waivers, and co-lender relations, among other Negotiate and draft term revisions / side letters as needed; resolve deal issues as they arise.
  • Oversee records management function to ensure proper preservation of deal
  • Support subsidiary Community Development Entity with New Markets Tax Credit transactions, corporate processes, contracts, project monitoring and other compliance issues.

Qualifications:

BS/BA and JD

  • Minimum of 10 years of legal experience in multifamily real estate finance transactions with a law firm or corporate law department, including responsibility for negotiating and closing real estate finance transactions.
  • Knowledge of customary legal relationships, legal issues, and closing practices required for multifamily finance transactions.
  • Familiarity with common real estate lender-borrow issues and the ability to negotiate resolution of same
  • Experience with Agency/secondary multifamily mortgage market/commercial mortgage-backed

Compensation: 200-300K cash compensation
