Job Description

Our client is seeking a Corporate Governance paralegal to work with the team dedicated to corporate governance matters. The paralegal will work closely with all members of the team. They will also work with external counsel, various areas within Legal, the firm’s Executive Office and the Internal Audit and Compliance Departments.

RESPONSIBILITIES

  • Assisting in the preparation for meetings of the Board and its Committees, particularly the Risk Committee, Audit Committee and Compensation Committee
  • Drafting, reviewing and proofreading documents and handling other document distributions
  • Assisting with preparation and review of certain NYSE and SEC filings, including Section 16 filings
  • Organizing and archiving corporate records and Board/committee materials
  • Responding to regulatory-related requests and reviewing certain documents for compliance with regulatory requirements
  • Assisting with management of global database, including coordinating with users and ensuring consistency
  • Researching corporate governance issues
