Job Description

Immediate need. Our client is seeking an experienced Corporate Paralegal to assist the legal department with the following responsibilities:
  • Maintain domestic corporate records, including minute books and general records
  • Coordinate and document annual general meetings of domestic subsidiaries and prepare and assist with annual corporate filings
  • Coordinate subsidiary maintenance and governance matters for both domestic and international locations, including annual general meetings and annual financial statement approvals
  • Assist with legal entity mergers, dissolutions, formations and rationalizations
  • Assist with notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents as needed
  • Assist with SOX compliance and audit processes, including Disclosure Committee support and drafting Committee minutes
  • Assist with Mergers & Acquisitions from time to time.
Bachelor's Degree is preferred along with a minimum of 7 years of experience in a Corporate Paralegal position (or combination of higher education and Paralegal certificate) with hands on experience with the above listed duties.
