Corporate Paralegal - Transactional Focus

We are seeking a Corporate Paralegal to join our dynamic team. This role is integral to our corporate operations, offering a robust engagement in a hybrid work environment. As a key member of our legal team, you will focus on creating and managing corporate documents and transactions, with opportunities to contribute meaningfully to our diverse legal processes. Salary: $50,000 to $80,000 per year

Essential Duties and Responsibilities:

  • Form and manage corporations, PLLCs, LLCs, P.C.'s, non-profits, and partnerships across the U.S.
  • Check name availability and reserve through Department of State, draft and file critical formation documents.
  • Maintain corporate records, obtain tax IDs, prepare stock certificates, and complete stock ledgers.
  • Manage corporate transactions including qualifications for business in foreign states, handle assumed name filings and dissolution certificates, and manage final tax procedures.
  • Prepare and manage real estate transfer documents, as well as leases and powers of attorney.
  • Oversee bankruptcy procedures including daily monitoring through Pacer, preparing and filing bankruptcy documentation.
  • Conduct Lexis background searches and perform deep-dive online research for corporate information.
  • Collaborate with attorneys for SEC Form D filings and manage audit requests for the corporate department.

Minimum Position Qualifications:

  • At least 1 year of relevant experience in a paralegal role focusing on corporate law.
  • Proven ability to handle multiple time-sensitive tasks with precision.
  • Strong organizational and follow-up skills.
  • Proficiency in Lexis, Westlaw, Microsoft Word, Excel and ADOBE Acrobat / KOFAX Professional.
  • Bachelor’s degree and/or a Paralegal Certificate.

Preferred Qualifications:

  • Experience in managing complex corporate transactions and documentations.
  • Advanced knowledge and handling of bankruptcy procedures and documentation.
  • Proficiency in conducting online and database research.
  • Ability to work independently and within a team to meet deadlines and objectives.
  • Experience working in a hybrid environment and managing tasks remotely.
