Location: Ottawa, ON - West end
Job Type: Full-Time, Permanent
Salary: $65,000 - $80,000 (commensurate with experience)

About the Opportunity
Our client, a respected law firm in Ottawa, is seeking an experienced Corporate Law Clerk to join their team. This opportunity is ideal for a detail-oriented and proactive professional who enjoys working closely with lawyers on complex corporate matters and transactional files.
The successful candidate will thrive in a fast-paced, deadline-driven environment and will play an integral role in supporting corporate transactions, maintaining corporate records, and ensuring filings and documentation are completed accurately and efficiently.
Key Responsibilities
Corporate Transactions & Document Preparation
- Prepare and assist with a variety of corporate legal documents, including:
- Articles of incorporation, amendments, and related filings
- Corporate resolutions
- Shareholder agreements
- Share purchase and asset purchase agreements
- Annual returns and corporate filings
- Support lawyers on corporate reorganizations, mergers and acquisitions, and other transactional matters.
- Assist with due diligence reviews and corporate research.
Corporate Records & Filings
- Manage and maintain corporate records, minute books, and databases.
- Prepare and file corporate documents with applicable government authorities.
- Ensure corporate records remain accurate, organized, and compliant with regulatory requirements.
- Track deadlines and proactively manage upcoming filing requirements.
Client & Team Support
- Communicate professionally with clients to obtain required information and provide updates.
- Work closely with lawyers and other team members to support corporate matters from start to finish.
- Manage multiple priorities while maintaining a high level of accuracy and attention to detail.
Qualifications
- Minimum 5 years of experience as a Corporate Law Clerk within a law firm or corporate legal environment.
- Strong knowledge of corporate law procedures, governance requirements, and transactional documentation.
- Experience preparing corporate documents and managing corporate filings.
- Excellent organizational skills with the ability to manage multiple files and competing deadlines.
- Strong attention to detail and commitment to accuracy.
- Ability to work independently while collaborating effectively with lawyers and colleagues.
- Strong written and verbal communication skills.
- Fluency in English is required; French is considered an asset.
- Diploma or degree from a recognized Legal Assistant/Law Clerk program in Ontario, or equivalent legal training and experience.
