Position: Corporate Law Clerk (5+ years)
Location: Ottawa, Ontario
Salary: $65,000 – $80,000, commensurate with experience

Our client is seeking a skilled and motivated Corporate Law Clerk to join a growing Corporate and Commercial practice. The successful candidate will work closely with lawyers on complex, time-sensitive matters, including interprovincial and cross-border transactions. This role is ideal for someone who is detail-oriented, proactive, and able to manage multiple priorities in a fast-paced environment while exercising sound judgment and independence.

Key Responsibilities:

Document Preparation & Corporate Filings

  • Draft and prepare corporate documents, including articles of incorporation, resolutions, shareholder agreements, and share/asset sale and purchase agreements.

  • Manage corporate filings with government authorities, ensuring compliance with deadlines and regulations.

  • Maintain accurate corporate records, minute books, and databases in accordance with legal requirements.

Client & Lawyer Support

  • Communicate with clients to gather information, respond to inquiries, and provide updates on corporate matters.

  • Assist lawyers with due diligence, corporate transactions, mergers, and acquisitions.

  • Provide general administrative support to ensure smooth workflow and document management.

Compliance & Research

  • Conduct research on corporate governance and regulatory requirements.

  • Monitor compliance deadlines and flag issues proactively to the legal team.

Qualifications:

  • Diploma or degree from a legal assistant or law clerk program in Ontario, or equivalent legal training outside Canada relevant to corporate or commercial law.

  • Minimum 5 years of experience as a Corporate Clerk in a law firm or corporate environment, with transactional experience.

  • Strong understanding of corporate law procedures, governance, and filings.

  • Excellent written and verbal communication skills; fluency in English required, French is an asset.

  • Strong organizational skills and attention to detail; ability to prioritize tasks and manage multiple files independently.

  • Professional demeanor and ability to handle confidential information with discretion.
