Senior Corporate Law Clerk

Location: Ottawa, ON
Employment Type: Full-Time, Permanent
Salary: $50,000 – $80,000

Position Overview

Our client is seeking an experienced and highly motivated Senior Corporate Law Clerk to join their legal team. This is an excellent opportunity for a detail-oriented corporate law professional with strong transactional experience and a solid understanding of Canadian corporate law.

The successful candidate will play an important role in supporting corporate transactions, maintaining corporate records, preparing legal documentation, and assisting with corporate reorganizations and other complex matters. The ideal candidate is organized, detail-oriented, able to work independently, and comfortable managing multiple priorities in a fast-paced legal environment.

Key Responsibilities

  • Review, analyze, and summarize corporate minute books and records; identify deficiencies, recommend appropriate courses of action, and prepare documentation to rectify issues.
  • Prepare and file corporate documents, including Articles of Incorporation, Articles of Amendment, Articles of Continuance, and Articles of Amalgamation, including drafting share provisions.
  • Prepare and file extra-provincial registrations and related documents across Canada.
  • Prepare corporate resolutions and supporting documentation for a variety of corporate transactions.
  • Prepare documentation related to the purchase and sale of businesses, including both asset and share transactions.
  • Prepare corporate documentation required to complete business purchase and sale transactions.
  • Review accountant and lawyer planning memoranda relating to tax-driven corporate reorganizations and prepare document checklists and corporate documentation to implement proposed plans.
  • Prepare and maintain corporate records, including documentation relating to the issuance and transfer of shares and changes to registered offices, directors, officers, and shareholders.
  • Manage and maintain corporate minute books and ensure corporate records are accurate and up to date.
  • Conduct legal and technical research and interpret statutes, regulations, and procedures relevant to corporate law matters.
  • Prepare securities-related documentation and assist with filings through SEDAR+.
  • Provide ongoing corporate and transactional support to lawyers and clients.
  • Coordinate with clients, accountants, lawyers, government agencies, and other external parties as required.

Qualifications

  • Minimum 5 years of experience as a Corporate Law Clerk, preferably gained within a law firm or in-house legal environment.
  • Completion of the Institute of Law Clerks of Ontario (ILCO) certification or a recognized Law Clerk program.
  • Strong knowledge and practical understanding of applicable Canadian corporate statutes and regulations.
  • Extensive experience supporting corporate transactions and reorganizations.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and accuracy.
  • Excellent organizational and time-management skills, with the ability to prioritize and manage competing deadlines.
  • Ability to work independently with minimal supervision while also contributing effectively as part of a team.
  • Strong interpersonal skills and the ability to communicate professionally with clients, lawyers, colleagues, and external counsel.
  • Demonstrated initiative, sound judgment, and a strong work ethic.

Technical Skills

  • Strong proficiency with Microsoft Office 365, including Word, Excel, and Outlook.
  • Experience with Closing Folders and MinuteBox is considered an asset.
  • Strong document preparation, file management, and corporate records management skills.
