Corporate Law Clerk – Opportunity with a Leading Legal Team

Are you an experienced Corporate Law Clerk looking to join a dynamic law firm or in-house legal department? We’re currently recruiting for a skilled professional to manage corporate minute books, prepare essential corporate documentation, and support complex transactions across Canada.

Key Responsibilities:

  • Review and analyze corporate minute books and records; recommend corrective actions and draft required documents.

  • Prepare and file key corporate documents such as Articles of Incorporation, Amendments, Continuance, and Amalgamation, including drafting share provisions.

  • Manage extra-provincial filings across all Canadian provinces.

  • Draft corporate resolutions and supporting transaction documents.

  • Prepare documentation for business purchase and sale transactions (asset or share-based).

  • Collaborate with accountants and lawyers on tax-related corporate reorganizations, assisting with checklists and document preparation.

  • Organize corporate records, including share issuances and updates to directors, officers, registered offices, and shareholders.

  • Maintain and manage minute book records.

  • Conduct research on legal statutes and regulations relevant to corporate law.

  • Assist in preparing and filing securities documents on SEDAR+.

Qualifications:

  • Minimum 5 years’ experience as a Corporate Law Clerk in a law firm or corporate setting.

  • Completion of Institute of Law Clerks of Ontario certification or equivalent college program.

  • Excellent verbal and written communication with strong attention to detail.

  • Proven ability to work independently and collaboratively in a fast-paced environment.

Skills and Experience:

  • Strong knowledge of corporate statutes and transactional processes.

  • Extensive experience handling corporate filings and documentation.

  • Proficient with Microsoft Office 365 (Word, Excel, Outlook), Closing Folders, and MinuteBox.

  • Highly organized with the ability to prioritize and multi-task effectively.

  • Positive team player with a strong work ethic and professionalism.
