GRC Executive, a leading recruitment firm, is partnering with a boutique advisory firm in Puerto Rico to find an experienced Corporate Advisor. This firm specializes in navigating the complexities of Puerto Rico’s business environment, providing expert financial and operational guidance to its clients through a holistic approach. Their core services include:
- Foundational Level: Setting up new operations or subsidiaries, including entity formation, filings, and permits.
- Government Incentives: Securing Puerto Rico-specific Act 60 tax decrees and other grants.
- Ongoing Compliance: Managing ongoing operational and incentive compliance filings.
- Access to Capital: Facilitating funding through tax credits, grants, and debt programs.
Role Summary
As a Corporate Advisor, you will be a vital legal team member, providing expert counsel to a diverse portfolio of clients in Puerto Rico. This role involves managing complex legal structures, mentoring junior advisors, and delivering high-quality legal services while acting as a strategic client partner. The ideal candidate is a seasoned attorney with strong leadership abilities and a deep understanding of Puerto Rican corporate law and regulations.
Key Responsibilities
Internal Legal Responsibilities:
- Complex Corporate Engagements: Manage legal matters, including mergers, acquisitions, entity formation, contract review, and regulatory compliance. Conduct due diligence, negotiate terms, draft documents, and implement legal structures.
- Strategic Counsel: Advise leadership on corporate governance, risk management, and business planning. Ensure compliance with Puerto Rican and federal laws.
- Risk Mitigation: Identify potential legal risks and develop proactive strategies to address them.
- Mentorship: Supervise and mentor junior advisors, providing training and professional development support.
- Legal Documentation: Draft, review, and present legal documents, ensuring precision and alignment with business objectives.
- Continuous Education: Stay informed on legal developments affecting Puerto Rico’s business landscape and enhance internal legal capabilities.
- Cross-Functional Collaboration: Work with sales, project management, and finance teams to align legal solutions with business goals.
Client-Facing Consulting Responsibilities:
- Entity Formation & Maintenance: Guide clients through forming and maintaining corporate entities, including:
- Securing organizational certificates and EINs.
- Drafting and reviewing operating agreements, bylaws, and incorporation documents.
- Navigating Puerto Rico Department of State requirements.
- Compliance Management: Assist clients in achieving and maintaining regulatory compliance, including:
- Merchant registrations and municipal licenses.
- Environmental and safety permits.
- Treasury Department and other agency filings.
- Incentive portal submissions.
Client Relationship Management: Independently manage client portfolios, ensuring timely and effective service delivery. Build strong client relationships to establish the firm as a trusted corporate governance and compliance partner.
Qualifications
- Education: Juris Doctor (J.D.) from an accredited law school; licensed to practice law in Puerto Rico.
- Experience: 5-8 years of corporate law experience in Puerto Rico, including managing complex client engagements.
- Expertise: In-depth knowledge of Puerto Rican corporate law, including entity formation, mergers and acquisitions, contract negotiation, and regulatory compliance.
Skills:
- Superior legal research, writing, and analytical skills.
- Excellent communication and interpersonal abilities, with proven client relationship management experience.
- Leadership and mentorship capabilities.
- Languages: Proficient in Spanish and English (written and spoken).
- Technical Knowledge: Familiarity with the Single Permit Application process and other Puerto Rican regulatory requirements.
