As key member of the CEO’s executive team, lead, manage, and develop entire finance organization to support the company's growth,
ESSENTIAL
General
- Establishment of strong financial & accounting department in the organization
- With the CEO and the rest of the executive team, manage all financial matters, support business with strategic planning, financial planning/budgeting, and analysis.
- US GAAP based financial reporting to the SEC and the board of directors as well as managerial reporting and analysis.
- IPO process management (S1 filing and other SEO requirements) while working with law firms, audit firms, bankers and other professionals.
- Treasury management including cash flow, banking, tax, and IR.
- Create strong corporate governance structures in the organization
- Establish/maintain adequate level of internal control as required as a public company in the US and ensure all necessary SEC requirements are met.
- Develop and maintain effectiveness and efficiency of financial reporting procedures and system
- Create meeting minutes for the stockholder’s meetings and board meetings as the secretary.
- Responsible for monitoring and maintaining the articles of incorporation, Bylaws, company records and corporate seal, review of consensus documents, manage shareholder registry, and responsible for the issuance of stock certificate.
NON-ESSENTIAL
- Maintains high ethical standards in the work place.
- Reports all irregular financial and accounting issues and problems and make recommendations to the CEO/President for solutions.
- Complies and maintains confidentiality of all company policies and procedure.

Education/Experience:
- CPA (preferably experience with the big 4 in the US) with US GAAP financial reporting and management roles, preferably with a US public company.
- CFO experiences in growing company (if not, experience as “director of finance” or corporate controller level of responsibility, preferably a US public company) for minimum 6 years.
- Experience in working for public company is plus.
- Experience in leading IPO project is plus.
- Experience with global environment and with the English and Japanese
- Experience with use/and or implementation of ERP especially financial modules.
- Strong leadership, a challenging spirit, and a good team player.
