Salary: $260,000.00 - $365,000.00 per year
Essential Duties and Responsibilities:
- Provide legal counsel on both public and private offerings of securities, ensuring adherence to all regulatory requirements.
- Advise on corporate governance practices and handle periodic reporting obligations for public companies.
- Lead and negotiate public and private mergers, acquisitions, and manage private equity deals.
- Draft, assess, and negotiate critical transactional documents such as offering memoranda, shareholder agreements, and various contracts.
- Collaborate with multidisciplinary teams to incorporate tax, regulatory, and diverse considerations into transaction strategies.
- Develop and maintain robust client relationships, playing a key role in business development and client management.
Minimum Position Qualifications:
- JD from a top-tier law school with a distinguished academic record.
- Active Bar Admission in applicable jurisdiction.
- 3–5 years of substantive experience in corporate transactions and securities law.
- In-depth knowledge of public and private securities offerings and corporate governance.
- Proven ability to effectively communicate and collaborate in a team-oriented setting.

- Experience with public and private mergers and acquisitions.
- Familiarity with private equity transactions.
- Strong strategic thinking and analytical skills.
- Excellent negotiation and drafting skills.
