Associate Attorney - Corporate Transactions & Securities

Salary: $260,000.00 - $365,000.00 per year

Essential Duties and Responsibilities:

  • Provide legal counsel on both public and private offerings of securities, ensuring adherence to all regulatory requirements.
  • Advise on corporate governance practices and handle periodic reporting obligations for public companies.
  • Lead and negotiate public and private mergers, acquisitions, and manage private equity deals.
  • Draft, assess, and negotiate critical transactional documents such as offering memoranda, shareholder agreements, and various contracts.
  • Collaborate with multidisciplinary teams to incorporate tax, regulatory, and diverse considerations into transaction strategies.
  • Develop and maintain robust client relationships, playing a key role in business development and client management.

Minimum Position Qualifications:

  • JD from a top-tier law school with a distinguished academic record.
  • Active Bar Admission in applicable jurisdiction.
  • 3–5 years of substantive experience in corporate transactions and securities law.
  • In-depth knowledge of public and private securities offerings and corporate governance.
  • Proven ability to effectively communicate and collaborate in a team-oriented setting.

  • Familiarity with private equity transactions.
  • Strong strategic thinking and analytical skills.
