Corporate Lawyer

An exciting and flexible opportunity as an in-house corporate lawyer awaits. The client is a small-mid sized construction firm based out of Markham, Ontario offering a broad range of professional services to both public and private sector. The incumbent will spearhead the Legal and Compliance department bringing it in-house which is currently outsourced.

Must have:
• Experienced in Corporate Law
• Member in good standing with the Law Society of Ontario
• Litigation experience

Nice to see:
• Previous experience dealing with government bodies such as MTO
• Independent thinker and a self-starter
• Strong writing skills and draft document generation experience

Duties include but not limited to:
• Preparing and filing motions, application records, factotums, affidavits of documents, etc.
• Creating contracts and agreements, amending existing documents in place
• Representing the client in legal matters
• Proactively identifies issues and recommends solutions
• Performs a variety of legal and administrative duties
• Prepares and files articles and corporate documentation relating to simple and complex incorporations, amendments, continuances, amalgamations and dissolutions, and other complex corporate transactions
• Prepares necessary documentation related to mergers, acquisitions, financings, asset purchases, Section 85(1) rollovers under the Income Tax Act and reorganizations
• Prepares routine minute book documentation (e.g. annual meeting materials, change/directors/officers/registered office address/ dividends/share provisions, etc.) and makes necessary filings
• Other duties as required
